Terms of Service

Welcome to StudentPal! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StudentPal ("StudentPal," "we," "our," or "us"), governing your access to and use of our platform and all related services available at studentpal.co(collectively, the "Service").

By accessing, Browse, or using any part of the Service, you signify that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Platform Description

StudentPal is an online platform designed to connect students seeking accommodation and mess services ("Student Users") with verified hostel owners, property managers, and mess service providers ("Service Providers") primarily in Lahore, Pakistan. Our Service facilitates the discovery of, and communication regarding, available housing and food services.

**Important Disclaimer:** StudentPal acts solely as an intermediary platform. We **do not own, manage, operate, lease, or inspect** any listed properties or provide mess services ourselves. We are not a real estate agency, broker, landlord, or property management company. Any rental agreements, financial transactions, or service arrangements are entered into directly between Student Users and Service Providers. While we strive to provide a transparent and reliable environment, we are not responsible for the actual condition, legality, safety, or availability of any listed property or service, nor for the conduct of any user on or off the platform.

2. User Accounts and Eligibility

• **Eligibility:** To use StudentPal, you must be at least 18 years old and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these eligibility requirements.
• **Account Registration:** You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Your account is for your personal or business use only, and you may not share your account credentials with others.
• **Account Security:** You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify StudentPal immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this security obligation.
• **Types of Accounts:** We may offer different account types (e.g., Student User, Service Provider). You agree to use the appropriate account type for your intended purpose.

3. User Responsibilities and Prohibited Conduct

By using StudentPal, you agree to:

• **Provide Accurate Information:** Ensure that all information you submit or post on the Service, including profile details, listings, reviews, and communications, is truthful, accurate, complete, and not misleading.
• **Lawful Use:** Use the Service only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Service by, any third party.
• **Respectful Conduct:** Interact with other users in a respectful, professional, and non-discriminatory manner. Harassment, abuse, threatening behavior, or any form of hate speech is strictly prohibited.
• **Maintain Communication:** If you are a Service Provider, respond promptly and professionally to inquiries from Student Users.
• **Adhere to Platform Rules:** Comply with any specific guidelines, policies, or rules posted on the Service.
• **Not Misuse the Platform:** You are expressly prohibited from:
  • Engaging in any form of spamming, unsolicited advertising, or promotional activities not authorized by StudentPal.
  • Posting false, misleading, defamatory, or fraudulent reviews or information.
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Uploading or transmitting any malicious code, viruses, or other harmful software that could damage or disrupt the Service or other users' devices.
  • Attempting to gain unauthorized access to any part of the Service, other user accounts, or computer systems or networks connected to the Service.
  • Collecting or harvesting any personally identifiable information from the Service without explicit consent.
  • Engaging in any activity that interferes with or disrupts the integrity or performance of the Service.

4. Listings, Verification & Disclaimer of Warranties

• **Listing Content:** Service Providers are solely responsible for the accuracy, completeness, and legality of their listings, including descriptions, pricing, availability, images, and any other information provided.
• **Verification Process:** StudentPal implements initial verification processes for Service Providers and their listings to the best of our ability. This may include reviewing documents or conducting basic checks. However, this verification is limited and does not constitute an endorsement, guarantee, or warranty by StudentPal regarding the accuracy, safety, quality, or legality of any listing, property, or Service Provider.
• **No Liability for Inaccuracies:** We are not liable for any inaccuracies, omissions, or misrepresentations in any listing content. Users are strongly encouraged to conduct their own due diligence, verify information, and inspect properties before entering into any agreements.
• **User Disputes:** StudentPal is not responsible for resolving disputes between Student Users and Service Providers. While we may, at our sole discretion, offer limited assistance or mediation, we are under no obligation to do so. Any agreements, financial transactions, or disputes arising from such agreements are solely between the parties involved.
• **Financial Transactions:** StudentPal does not process direct payments for hostel or mess services. Any financial transactions occur directly between Student Users and Service Providers, outside of the StudentPal platform. We are not responsible for any financial losses, fraud, or disputes related to such transactions.

5. Intellectual Property Rights

• **StudentPal Content:** All content on the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software, is the property of StudentPal or its content suppliers and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, redistribute, or create derivative works from any content on the Service without our express written permission.
• **User-Generated Content:** By submitting, posting, or uploading any content (e.g., listings, reviews, photos) to StudentPal, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the Service and StudentPal's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant this license to StudentPal.

6. Termination and Suspension

• **By StudentPal:** We reserve the right to suspend, terminate, or restrict your access to the Service, or delete your account, at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms, engage in any activity that harms StudentPal or other users, or if we believe your conduct is harmful to the interests of StudentPal or other users.
• **Effect of Termination:** Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
• **By User:** You may terminate your account at any time by contacting us through the provided contact information.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

STUDENTPAL DOES NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STUDENTPAL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; C) ANY CONTENT OBTAINED FROM THE SERVICE; AND D) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL STUDENTPAL'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless StudentPal, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, your use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

10. Governing Law and Dispute Resolution

• **Governing Law:** These Terms shall be governed and construed in accordance with the laws of **Pakistan**, specifically the laws of the **Province of Punjab**, without regard to its conflict of law provisions.
• **Dispute Resolution:** Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation, it shall be exclusively submitted to the competent courts located in **Lahore, Punjab, Pakistan**.

11. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

12. Miscellaneous Provisions

• **Severability:** If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
• **Waiver:** No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and StudentPal's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
• **Entire Agreement:** These Terms, together with the Privacy Policy and any other legal notices published by StudentPal on the Service, shall constitute the entire agreement between you and StudentPal regarding the Service.
• **Assignment:** You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at our sole discretion.
